Company Winding Up
Close a company that's no longer operating — the fast-track strike-off route (Form STK-2) for a defunct company with no liabilities, or guidance to the liquidation route where that applies.
Close a company formally — strike-off or liquidation.
- Stops annual ROC filing obligations and their penalties on a company you're not using
- Fast-track strike-off is far cheaper and quicker than formal liquidation, where eligible
- We confirm which route actually applies before you pay for the wrong one
Documents required.
- Certificate of Incorporation and PAN of the company
- Latest Memorandum & Articles of Association (MOA/AOA)
- Board resolution authorising the change
- PAN and Aadhaar of the directors involved
- Statement of accounts not older than 30 days
- Indemnity bond and affidavit from directors (Form STK-3/STK-4)
- NOC from creditors, if any
What happens after you pay.
- 01
Eligibility check
We confirm the company qualifies for fast-track strike-off (no assets/liabilities, no active business for a year).
- 02
Board & shareholder approval
Board resolution and special resolution for closure are drafted and passed.
- 03
Filing
Form STK-2 with supporting documents is filed with the Registrar of Companies.
- 04
Public notice & strike-off
The Registrar publishes a public notice; if no objection is raised, the company is struck off.
We are an assisted-filing agency, not Registrar of Companies (MCA). Our fee covers preparation, filing and follow-up on your application. MCA's Form STK-2 filing fee (currently ₹10,000) is separate and paid at actuals. Liquidation, where required instead, involves separate NCLT and liquidator fees.
Other company compliance you might need.
DIN eKYC (DIR-3 KYC)
Mandatory annual KYC for every director.
Add / Remove Director
Appoint or resign a director, filed correctly with the MCA.
