Forming an LLC (Limited Liability Company) is the most popular way to start a business in the United States — and it’s simpler than most people think. An LLC protects your personal assets, is tax-flexible, and works for both US residents and people overseas. This guide walks you through the exact steps for 2026.
1. Choose your state
If your business has a physical presence (an office, staff or a shop) in one state, register your LLC there. If you run an online business or a holding company, founders often pick a business-friendly state:
- Wyoming — low fees, strong privacy, no state income tax.
- Delaware — the gold standard for startups raising investment.
- New Mexico — among the cheapest, with good privacy.
2. Pick a unique company name
Your name must be available in your chosen state and usually must end with “LLC” or “Limited Liability Company.” Check availability before filing — we run a free name search as part of every package.
3. Appoint a registered agent
Every US LLC needs a registered agent — a person or company with an address in the state to receive legal mail. If you don’t live in the state (or the US), you must use a registered agent service. We include one free for the first year.
4. File the Articles of Organization
This is the official document that creates your LLC. You file it with the Secretary of State and pay the state fee (roughly $35–$300 depending on the state). Once approved, your company legally exists.
Tip: Most states approve LLCs in 5–10 business days. Many offer expedited filing if you’re in a hurry.
5. Get your EIN (Federal Tax ID)
An EIN is your business’s tax number. You need it to open a US bank account, hire staff and file taxes. Non-residents can get an EIN too — we handle the paperwork for you.
6. Create an Operating Agreement
This internal document sets out who owns the LLC, how profits are split and how decisions are made. It isn’t always legally required, but banks and investors expect it — and it prevents disputes later.
7. Stay compliant
After formation, keep your LLC in good standing by filing the annual report (and franchise tax where applicable) and renewing your registered agent. We send reminders so nothing lapses.
What about non-residents?
You do not need a US visa, address or Social Security Number to own a US LLC. You’ll need a registered agent and an EIN — both included in our service — and you can open a US business bank account remotely with the right provider.
