Ownership
Free Zones have always offered 100% foreign ownership. Mainland used to require a local partner for many activities, but reforms now allow 100% foreign ownership for a large range of activities too — so ownership is less of a deciding factor than it used to be.
Where you can trade
This is the real difference. A Mainland company can trade anywhere in the UAE and with the local market. A Free Zone company primarily operates within its zone and internationally; to sell directly into the mainland market it usually works through a distributor.
Selling to UAE customers and walk-in clients? Mainland. Serving clients abroad or online? Free Zone.
Cost & office
Free Zones are typically cheaper to start and often allow a flexi-desk instead of a full office. Mainland may require physical office space depending on the activity, which can raise costs.
Visas
Both structures let you sponsor investor and employee residence visas. The number of visas you can get often depends on your office size and package.
Offshore — a third option
