01. General Provisions

Welcome to Code Craft. These Terms and Conditions outline the rules and regulations for the use of Code Craft’s Website and our digital marketing, SEO, and web development services. By accessing this website and engaging our services, we assume you accept these terms and conditions in full. Do not continue to use Code Craft’s services if you do not accept all of the terms and conditions stated on this page.

The following terminology applies to these Terms and Conditions: “Client”, “You”, and “Your” refers to you, the person logging on to this website and compliant to the Company’s terms and conditions. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to Code Craft.

02. Scope of Services

Code Craft provides enterprise-level web architecture, Custom CMS Development, SEO (Search Engine Optimization), Pay-Per-Click Advertising (PPC), and comprehensive digital marketing strategies. The exact scope of work for your project will be defined in a mutually agreed-upon “Statement of Work” (SOW) or project proposal.

• Scope Creep: Any requests made by the Client that fall outside the boundaries of the approved SOW will be subject to additional billing at our standard hourly rates or require an amended proposal.
• Timelines: All project timelines and delivery dates are estimates based on the timely receipt of materials, feedback, and approvals from the Client.

03. Payment & Billing Terms

To ensure high-quality resource allocation, Code Craft operates on a strict milestone-based billing structure. All invoices must be paid within the agreed-upon timeframe as specified in the service contract.

Unless otherwise stated, a non-refundable upfront deposit is required before the commencement of any engineering or design phase. Final project assets, website source codes, and administrative privileges will not be transferred to the Client until the final invoice balance is paid in full. Late payments may result in the suspension of active campaigns, hosting, or development services.

04. Intellectual Property Rights

Upon final payment and successful completion of the project, all intellectual property rights for the finalized designs, custom code, and written copy produced specifically for the Client will be transferred to the Client.

Code Craft reserves the right to utilize the completed project, including website screenshots, performance data (anonymized), and design prototypes, in our agency portfolio, case studies, and marketing materials, unless an explicit Non-Disclosure Agreement (NDA) supersedes this clause.

05. Confidentiality & NDAs

Both parties agree to hold in strict confidence any proprietary or confidential information disclosed during the execution of services. “Confidential Information” includes, but is not limited to, business strategies, trade secrets, customer lists, and financial data.

Code Craft will not share your sensitive operational data with unauthorized third parties. For enterprise clients requiring elevated security, we are fully willing to sign separate, legally binding Mutual Non-Disclosure Agreements prior to project commencement.

06. Limitation of Liability

In no event shall Code Craft, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of our services or website architecture after hand-off, whether such liability is under contract. Code Craft shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to algorithmic changes by search engines (e.g., Google core updates) that affect website rankings, traffic, or ad performance.

07. Governing Law & Jurisdiction

These Terms and Conditions will be governed by and interpreted in accordance with the laws of India. By engaging with Code Craft, you submit to the exclusive jurisdiction of the state and federal courts located in Lucknow, Uttar Pradesh for the resolution of any legal disputes.
